Vendor Terms and Conditions

These Vendor Terms and Conditions apply to all vendors, resellers, agencies, business users, or organizations that register for or use Whatsgro for commercial, operational, customer communication, or client-management purposes. By creating or using a vendor account, you agree to these terms.

1. Vendor Account

A vendor account is intended for business use. You are responsible for ensuring that all account details, business information, contact details, billing data, and connected communication assets are accurate and current.

2. Business Use and Compliance

You agree to use Whatsgro in compliance with all applicable laws, WhatsApp and Meta policies, anti-spam requirements, consumer protection rules, and privacy obligations relevant to your business and your target audience. You are solely responsible for the campaigns, messages, automations, templates, and communications sent from your account.

3. Connected Assets and Integrations

You are responsible for the lawful use and configuration of all connected numbers, WhatsApp Business assets, API credentials, templates, payment tools, email systems, domains, and any third-party integrations used through your vendor account.

4. Client Data and Permissions

If you use Whatsgro to communicate with leads, customers, students, subscribers, or clients, you confirm that you have obtained all required consents, permissions, and lawful grounds necessary to collect, store, process, and communicate with them.

5. Prohibited Vendor Activities

You must not use the platform for spam, harassment, fraudulent offers, misleading claims, illegal products or services, unauthorized scraping, policy evasion, impersonation, or any activity that may expose Whatsgro, its users, or its infrastructure to legal, reputational, operational, or platform-level risk.

6. Billing, Subscription, and Non-Refundable Services

All vendor plans, subscriptions, setup charges, customization fees, onboarding fees, add-on purchases, consulting support, and paid services are strictly non-refundable. Vendors are expected to review the demo, trial, plan details, and available features before purchasing any paid service. Once payment is made, no refund, cancellation refund, downgrade refund, or partial refund will be issued.

7. Trial and Demo Evaluation

Any demo access, trial period, sample configuration, or pre-sales explanation is intended to help vendors evaluate the suitability of the software before making payment. Purchase of a paid plan confirms that you have independently assessed the service and accepted its suitability for your business needs.

8. Usage Limits and Feature Access

Different subscription plans may have different limits, feature access rules, automation allowances, user seat limits, or campaign capacity. Whatsgro reserves the right to enforce plan-based limitations and fair usage controls.

9. Suspension, Restriction, or Termination

We may suspend or terminate a vendor account, in whole or in part, if we detect misuse, payment issues, legal complaints, third-party policy violations, abusive traffic, security risks, or activities that may negatively affect the platform or other users.

10. Data Responsibility and Backups

Although we take reasonable measures to maintain service reliability, vendors are encouraged to maintain their own backups of important business data, campaign content, contact information, and reports. You remain responsible for the business consequences of your communications and operational decisions.

11. Intellectual Property and Platform Rights

Whatsgro and its related software, branding, systems, workflows, interface designs, and proprietary features remain the property of Whatsgro and/or its licensors. Vendors may not copy, resell, sublicense, reverse engineer, or misuse the platform beyond the scope of allowed access.

12. Disclaimer and Limitation of Liability

Whatsgro does not guarantee message delivery, business outcomes, lead generation performance, account approvals by third-party platforms, or uninterrupted service. To the fullest extent permitted by law, we disclaim liability for indirect, incidental, consequential, business, or data-related losses.

13. Modification of Terms

We may revise these vendor terms from time to time. Continued use of the vendor account after such changes are published will be treated as acceptance of the revised terms.
